Whereas both parties intend to collaborate on knitwear development, and to ensure that any designs, patterns, techniques and trade secrets provided by Party A are not disclosed to third parties, the parties hereby agree as follows: 鉴于双方有意就针织服装开发进行合作，为确保甲方提供的任何设计、版型、工艺及商业机密不被泄露给第三方，特订立此协议
1. Definition of Confidential Information / 保密信息定义
Includes but not limited to: original sketches, Tech Packs, size charts, exclusive patterns, fabric compositions, colorways, and physical prototypes. The detailed scope shall be defined in Exhibit A (Delivery List); information not listed therein shall not be deemed confidential under this Agreement.
保密信息包括但不限于：甲方提供的原始设计手稿、技术包 (Tech Packs)、尺寸表、独家版型、特种面料配方、色彩方案及打样期间的物理样衣。具体信息范围以附件A《交付物清单》为准，任何未列入清单的信息不视为本协议项下的保密信息。
2. Obligations & Order Conditions / 乙方义务与订单条件
乙方承诺仅将保密信息用于甲方的订单生产。未经书面授权，乙方不得泄露或用于其他客户。甲方应在收到样衣后 15 个工作日内确认是否下达大货订单；逾期未确认的，乙方有权收取开发成本补偿，并可处置相关模具及样衣（保留至少6个月后）。
Party B shall use information solely for Party A's orders and shall not disclose or use for others. Party A shall confirm bulk order within 15 business days after sample approval; otherwise Party B may charge development costs and dispose of tooling/samples (after 6 months retention).
3. Invisible Supply Chain Commitment / 隐形供应链承诺
BARYSSO shall not showcase Party A's products at exhibitions or on social media without explicit written permission. Internal use (training, quality control) or factory audits is allowed provided brand identity is not disclosed.
乙方（BARYSSO）承诺保护甲方品牌隐私。未经甲方书面许可，乙方不得在任何展会、社交媒体或官网上展示甲方的原创开发产品作为案例。但乙方可内部使用（如员工培训、质量检验）或用于第三方验厂认证，前提是不泄露甲方品牌信息。

4. Samples & Tooling / 物理样衣与模具处理
All exclusive tooling and surplus samples shall be stored for at least 6 months after termination for potential re-orders. If no instruction is given within that period, Party B may dispose of them and charge a storage fee (1% of material cost per month).
所有专为甲方开发的模具、工艺板及剩余样衣，乙方应妥善保存。合作终止后，乙方应保留相关物料不少于6个月，以便甲方翻单；若甲方未在保留期内提出处理要求，乙方可自行处置，并有权收取合理仓储费（每月按物料成本1%计）。
5. Warranties & Limitation of Liability / 甲方保证与责任限制
Party A warrants that all designs and materials provided do not infringe any third-party IP. In case of infringement claims, Party A shall fully indemnify Party B (including legal fees). Party B's liability is limited to direct damages, and total compensation shall not exceed 50% of the total contract value of the relevant order.
甲方保证其提供的所有设计、技术资料不侵犯任何第三方知识产权。若因设计本身侵权导致乙方遭受任何索赔、诉讼或损失，甲方应全额赔偿乙方（包括但不限于律师费、诉讼费、赔偿金）。乙方违约责任仅限于直接经济损失，且累计赔偿总额不超过该订单合同总金额的50%。
6. Term of Confidentiality / 保密期限
The confidentiality obligations shall be effective from the date of signing and remain in force for 5 years. Thereafter, the information shall be free from restrictions, provided that Party B does not infringe Party A's other IP rights.
本协议项下的保密义务自签署之日起生效，有效期为 5 年。期满后，保密信息自动解除保护，乙方可自由使用该等信息（但不得侵犯甲方仍享有的其他知识产权）。
7. Governing Law & Dispute Resolution / 管辖法律与争议解决
This Agreement shall be governed by the laws of the People's Republic of China. Any dispute arising from this Agreement shall be submitted to the competent court in the place where Party B is located (Dongguan, Guangdong) if negotiation fails.
本协议的订立、效力、解释及争议解决均适用中华人民共和国法律。因本协议引起的任何争议，双方应友好协商解决；协商不成的，任何一方均有权向乙方所在地（即广东省东莞市）有管辖权的人民法院提起诉讼。

Sign the NDA first, then send tech packs, sketches or reference samples. As a knitwear manufacturer handling OEM and ODM programs, we treat every artwork, pattern and yarn specification as confidential material and restrict access to the project team only.
What the Agreement Covers
The agreement covers design files, pattern data, yarn specifications, pricing, MOQ terms and production schedules, and stays valid after the project ends. Ready-stock styles start at 50 pieces with mixed batch purchasing; custom development starts at 100 pieces per style.
